Sales Policy & Terms of Sale 

At Revive Supply Inc., we believe quality equipment deserves a second life. We are committed to sourcing and providing high-quality pre-owned HVAC equipment recovered from clean renovations and demolitions. Every unit is carefully handled, and whenever possible, inspected and tested prior to sale to ensure it meets our internal standards. While we take pride in offering reliable, value-driven products, all equipment is used and sold under the terms outlined below.

1. Used Goods – “As-Is” Sale

All items sold by Revive Supply Inc. are used goods unless otherwise stated.
All equipment is sold “as-is” under Ontario law, with no guarantees, conditions, or warranties, except where required by law.

Under the Sale of Goods Act (Ontario), any implied conditions or warranties are expressly disclaimed to the fullest extent permitted.

 

2. No Warranties or Guarantees

Revive Supply Inc. provides no express or implied warranties, including:

  • Merchantability

  • Fitness for a particular purpose

  • Durability or lifespan

  • Compatibility with any system

Any descriptions or statements are for general reference only and are not legally binding guarantees.

 

3. Condition & Testing

Equipment may be tested prior to removal or sale when possible, but due to the nature of used equipment, no assurance is provided that the item will function after installation.

4. Final Sale (No Returns)

All sales are final. No refunds, returns, or exchanges will be provided. Where applicable, transactions are considered business-to-consumer or business-to-business sales of used goods, which are generally exempt from return obligations unless otherwise required under the Consumer Protection Act, 2002.

 

5. Buyer Due Diligence

The buyer is solely responsible for:

  • Inspecting the equipment prior to purchase

  • Verifying specifications and compatibility

  • Determining suitability for intended use

By completing the purchase, the buyer waives any claim regarding condition or suitability.

6. Installation & Code Compliance (Ontario)

  • All gas appliances must be installed by a licensed technician in accordance with Technical Standards and Safety Act, 2000 and enforced by the Technical Standards and Safety Authority (TSSA)

  • All electrical equipment must be installed by a licensed electrician in accordance with the Electricity Act, 1998 and the Ontario Electrical Safety Code

Failure to comply may result in serious safety risks, voided insurance, fines, or legal liability.

 

7. Limitation of Liability

To the maximum extent permitted under Ontario law, Revive Supply Inc. shall not be liable for:

  • Direct or indirect damages

  • Equipment failure or malfunction

  • Property damage or personal injury

  • Loss of income, business interruption, or consequential damages

In all cases, liability (if any) is strictly limited to the original purchase price of the item.

8. Indemnification

The buyer agrees to indemnify and hold harmless Revive Supply Inc., its owners, employees, and affiliates from any claims, damages, or legal actions arising from:

  • Installation or improper installation

  • Use or misuse of equipment

  • Failure to comply with Ontario laws, codes, or regulations​

 

9. No Installation or Professional Advice

Revive Supply Inc. does not provide installation services, engineering advice, or code compliance guidance.
All buyers must rely on licensed professionals for installation and compliance.

10. Transfer of Ownership & Risk

Ownership and all risk transfer to the buyer:

  • Upon full payment, and

  • At the time of pickup or delivery

Revive Supply Inc. is not responsible for damage, loss, or issues occurring after transfer.

Buyer Acknowledgment 

By completing a purchase, the buyer confirms that they:

  • Understand the equipment is used and sold as-is, in accordance with applicable federal, provincial, and local laws and regulations

  • Accept that all sales are final

  • Have inspected the equipment or have chosen to waive the right to inspect

  • Accept full responsibility for installation, use, and compliance with all applicable municipal, provincial, and federal codes, regulations, and safety requirements

  • Will ensure all work is completed by licensed and qualified professionals where required by law

  • Release and hold harmless Revive Supply Inc. from all liability after the point of sale

  • Confirm that goods were received in satisfactory condition at the time of pickup or delivery
